Job Description Specific Responsibilities and Skills The Corporate Legal Group at Gilead is seeking a life sciences transactional attorney who thrives in a high-volume, fast-paced, high-performing and collaborative corporate environment to join its team. Responsibilities will include working closely with the existing Corporate Legal team and the Corporate Development and Alliance Management operations to support strategic transactions and ongoing alliances as needed. The person in this position will, among other things: Work with Gilead's Corporate Development team and other departments within the company to support strategic transactions, specifically to:draft and negotiate a wide range of legal documents typical of a biotech or pharmaceutical organization including license agreements, MTAs, collaboration agreements (covering all stages a product's life cycle, i.e., research, development, manufacturing, supply, and commercialization), and options.perform due diligence in connection with a wide range of strategic transactions. Advise Gilead's internal clients on contract interpretation, dispute resolution, IP ownership and other legal risks. Assist with the development of policies and procedures, and standardizing positions for different agreements. Provide legal advice and support for existing alliances and partnerships. Work with other Gilead legal teams in a corporate litigation support function as needed, particularly in drafting settlement agreements.. Qualifications Juris Doctorate from a nationally recognized law school. Member in good standing of the State Bar of California, or have the ability to acquire status of Registered In-House Counsel from the California Bar. BS in life sciences or related field preferred. 4+ years in a law firm and/or in-house advising on, drafting and negotiating agreements, including significant experience with transactions in the biotechnology or pharmaceutical industry advising clients on both business and legal issues. Prior experience with or exposure to international regulatory processes for pharmaceutical products and laws and regulations governing clinical trials preferred. Ability to manage and serve a wide range of clients within the company by recognizing and responding quickly and pragmatically to urgent situations and clients. Exceptional and demonstrated written and verbal communication skills. Detailed knowledge of Food and Drug Administration and other government regulation of marketing and advertising of pharmaceutical products. Other: Ability to think creatively, devise solutions to challenging problems and effectively drive legal and business issues to closure. Willingness and ability to work with and coordinate activities across a large number of individuals across various departments, not only within the company's headquarters in Foster City, but also throughout the company's domestic and international subsidiaries in Europe, Latin America and Asia. Appropriately triage a heavy workflow, setting appropriate priorities with clients and delivering results efficiently. Exercise mature and reliable judgment while enjoying the company's enthusiastic, informal and fast-paced environment. Ability to work independently and as a team. will be accommodated, a regular out-of-office telecommute schedule is not Gilead's policy and is not a viable option for this position.
